This Lease Agreement with an Option to Purchase (hereinafter “Lease/Options”) is made this day of July 1, 2025 by and whose address is , (hereinafter “Lessor/Seller”) and the following individual/entity (hereinafter “Lessee/Buyer”):

Description of Shed/Location of Shed: The Lessor/Seller agrees to lease, and the Lessee/Buyer agrees to rent, the following:

NOTICE: THIS LEASE-PURCHASE AGREEMENT IS REGULATED BY STATE LAW AND MAY BE ENFORCED BY THE ATTORNEY GENERAL OR BY PRIVATE LEGAL ACTION.

LEASE OF PROPERTY: This is a rental-purchase agreement as defined by the applicable state’s rental-purchase agreement act.

The Shed that is being leased by Lessor/Seller, and which is being rented by Lessee/Buyer, shall be located at the following address for the entire time this Lease/Option remains in effect unless otherwise agreed to, in writing, by Lessor/Seller:

TERM AND TERMINATION: The “Term” of this Agreement is for one month. The initial term shall begin at upon delivery of the leased property. Renter may renew this Agreement for consecutive Terms of one month by making Rental Payments in advance for each additional month Renter wishes to lease the Property.

After delivery, the Renter may terminate this agreement at any time without penalty by voluntarily surrendering the rented property upon expiration of any lease term. Renter agrees to return the rented property to Lessor in the same condition it was in on this date, normal wear and tear excepted and all payments shall be deemed fair rental value. In the event of termination by Renter, Renter will still owe Lessor any past-due rental payments and accrued fees.

LEASE PAYMENTS AND COSTS: If you want to purchase this or similar property now, you should consider cash or credit terms that might be available to you.

“Retail Cash Price” or “Retail Value” (“estimated fair market value of the leased property”) of the Property if you bought it in full today is: (excluding taxes).

“Initial Payment” Renter has paid a nonrefundable amount equal to: (the “Initial Amount.”) The Initial Amount will be applied toward the first month of the Rental Payments, so that the next Rental Payment will be due from Renter 1 month(s) after the delivery date. Lessor may keep the Initial Amount even if Renter terminates this Agreement.

“Total Monthly Payment” If you wish to renew this Agreement, your monthly payment will be due the 10th of the month following delivery. Regular monthly payments shall be paid on or before the due date each month in the following amounts:

The “Total Cost” of the Property if you renew this lease for months is . This is the total amount of Rental Payments that Renter will pay if Renter renews the agreement for the number of consecutive months necessary to acquire ownership of the Property. This is the total dollar amount of lease payments you will have to make to acquire ownership. This does not include other charges or fees which may be incurred as explained in this agreement, including but not limited to late payment, processing, default, liability damage waiver. You should read the contract and attached disclosures for an explanation of these charges.

The “Cost of Lease Services” or “Rent to Own Charge” associated with this agreement is (calculated as the “Total Cost” minus “Contract Amount” excluding taxes).

“Aggregate Rental Payments means the sum of all Rental Payments (including the Initial Amount) actually made by Renter, excluding the amount of such Rental Payments attributable to taxes. Payment of Fees does not constitute Rental Payments.

You will not own the property until you have made the total payments necessary to acquire ownership or exercised the early purchase option, and otherwise complied with this agreement.

RISK OF LOSS: After delivery, if the Property is lost, stolen, damaged or destroyed, Renter must pay Lessor the fair market value of the Property (or maximum amount allowed in your state), or the actual cost of repair, if appropriate at the Lessor’s determination, unless the Customer has accepted LDW and the loss is covered by LDW.

This contract offers an optional loss damage waiver for an additional charge to cover your responsibility for loss of or damage to the merchandise. You do not have to purchase this coverage. Before deciding whether or not to purchase this loss damage waiver, you may consider whether your homeowners’ or casualty insurance policy affords you coverage for loss of or damage to rental merchandise and the amount of the deductible you would pay under your policy.

LDW does not cover (1) loss or damage to the merchandise that is caused by an unexplained disappearance or abandonment of the merchandise; (2) damage that is intentionally caused by the consumer; or (3) damage that results from the consumer’s willful or wanton misconduct.

You are not required to purchase LDW or insurance from the lessor.

LDW cost is an additional per month. (5% of monthly rental payment).

PURCHASE OF PROPERTY: If Renter makes Rental Payments (not including fees or other costs Renter may incur) and otherwise complies with this Agreement, Renter will acquire ownership of the Property. Renter will not own the property until Renter has made all Rental Payments or has purchased the Property by using the Early Purchase Option.

EARLY PURCHASE OPTION: After the first lease payment, Renter may choose to purchase the property early by paying % of the total remaining amount owed on the full-term contract balance. This amount does not include taxes, fees, or other applicable charges. Renter must be current on all Agreement obligations to exercise the Early Purchase Option.

OTHER CHARGES: Other charges and fees applicable to this agreement are included in the attached state specific provisions, which are incorporated as part of this Rental-Purchase Agreement and Disclosure Statement.

REINSTATEMENT: You have the right to reinstate this agreement if it is terminated. For the specific reinstatement provisions applicable to your state, see attached state-specific provisions which are incorporated as part of this Rental-Purchase Agreement and Disclosure Statement.

WARRANTIES: If a necessary repair is related to a manufacturing defect, you must contact and request such repairs. If Renter obtains ownership of the leased property, Lessor will transfer any available unexpired manufacturer’s warranty, if allowed by the terms of the warranty.

RENTER’S RESPONSIBILITIES: Renter acknowledges and agrees that Renter is solely responsible for providing a site suitable for the Property and determining whether ground conditions are suitable for delivery, and is responsible for all costs and expenses related to preparing the site for the Property. Lessor and its agents are not responsible for permits, setbacks, restrictions, or covenants that may affect, limit, or prohibit the placement of the Property at Renter’s desired location. It is the responsibility of the Renter to contact their local codes department or Homeowners Association as necessary to ensure compliance with such permits, setbacks, restrictions, or covenants. Renter will not use the Shed for any unlawful purpose.

ALTERATIONS/ADDITIONS: Renter shall not permit the leased property to be altered for the construction of shelves, or fixtures, including but not limited to utility services, or the addition of equipment and accessories, or the placing of signs thereon and shall not permit the leased property to be tied or otherwise affixed to any real estate in such a manner that the same cannot be removed without damage to the leased property. Renter acknowledges and agrees that the Property is for storage purposes only and is not to be used for a residence of any kind, and is not to be permanently affixed to any other property or structure.

LOCATION OF PROPERTY: The Property shall be kept at the address shown above. It may not be moved from that address without the written consent of Lessor which consent shall not be unreasonably withheld

INSPECTION/REPOSSESSION: Lessor shall have the right to examine and inspect the Property at all reasonable times. Renter agrees not to, in any way, restrict the Lessor, its agents and/or independent contractors from access to the leased property. Renter specifically grants to Lessor, its agents and/or independent contractors specific right of entry onto the Renter’s property during the initial delivery of said rental property and during the repossession of such leased property, whether such repossession is at the request of Renter or caused by Renter’s default, provided same can be done without breaching the peace.

Renter agrees to promptly remove all of Renter’s personal belongings and property at the termination of this agreement, whether such termination is caused by Renter’s default, or by lapse of time, and Lessor may elect that any personal property not removed at such termination by Renter is deemed abandoned by Renter and same shall become the property of the Lessor without any payment or offset thereto. If Lessor shall not so elect, the Lessor may remove such property from the leased premises and store same at Renter’s risk and expense.

If the Renter is not the landowner where the property is delivered, the Renter hereby acknowledges that he/she has specific permission from the landowner to have the property delivered and maintained on the landowner’s premises. Any damages resulting from the Renter’s misrepresentation under this section shall be borne by the Renter.

TITLE, MAINTENANCE, AND TAXES: Renter shall be responsible for and pay to the appropriate lawful authority any property taxes, permit fees, and other similar government impositions and charges which may be levied or assessed with respect to the Property. Lessor retains title at all times, unless and until Renter buys or acquires ownership of the property as provided herein. Except in West Virginia, the Renter is responsible for maintaining the leased property in good condition, fair wear and tear expected while it is in the Renter’s possession. In West Virginia, the Lessor shall be responsible for maintaining the leased property in working order and usable condition until such time as the Renter obtains ownership of the goods.

DEFAULT: If Renter fails to make any Rental Payment when due or fails to perform the obligations of the Renter under this Agreement, or otherwise materially breaches this agreement (an “Event of Default”), Lessor shall be entitled to terminate this Agreement. In any such Event of Default, at its option, Renter will be liable for each late Rental Payment (at the maximum amount allowed by state law) or failure to perform obligations, and Lessor shall be entitled to enter Renter’s property to recover or repossess the Property (without a breach of the peace) and to sue Renter for any late or unpaid Rental Payments and Fees.

Renter shall be responsible for and pay to Lessor, in addition to such other damages as the court may award, all of Lessor’s reasonable attorneys’ fees, court costs and other related expenses of collection and/or repossession, including but not limited to collection agency and/or attorneys’ fees incurred in enforcing the terms of this agreement.

LESSOR LIABILITY: Notwithstanding anything contained in this agreement to the contrary, Lessor shall not be liable to Renter or to any other person, firm or corporation by reason of the loss of, damage to or destruction or any contents contained from time to time in the Property, unless such loss, damage or destruction is due to gross negligence of Lessor or its employees. In the event, and whether or not such loss, damage or destruction for the property kept in the Property is due to the gross negligence of Lessor or employees, or otherwise, the liability of Lessor shall not exceed the value of the Property. In this regard, Renter warrants and guarantees to Lessor that no property in excess of the said limit of liability shall be placed in, or stored in the Property other than at the sole peril of Renter.

ASSIGNMENT: Renter may not assign any of Renter’s rights under this contract to any third-party without the written consent of Lessor which consent shall not be unreasonably withheld. A breach of this provision shall entitle the Lessor to immediate possession of the property. Lessor may assign this Lease without notice to the Renter.

ENTIRE AGREEMENT: This Agreement sets forth the parties’ entire agreement and may not be changed except by a writing signed by both Renter and Lessor.

BANKRUPTCY NOTIFICATIONS: Renter is hereby notified that this agreement is considered a true lease for bankruptcy purposes and should be scheduled and treated in accordance with 11 USC §365 if the Renter files a bankruptcy proceeding before obtaining ownership of the property.

ARBITRATION: Unless you exercise your right to opt-out of arbitration in the manner described below, you agree that any dispute in which the amount demanded exceeds $25,000.00 (including costs and fees) will be resolved by binding arbitration pursuant to the Federal Arbitration Act in the State of , or another location mutually agreeable to the parties. Arbitration replaces the right to go to court, including the right to have a jury trial, to engage in discovery (except as may be provided for in the arbitration rules), and to participate as a representative or member of any class of claimants or in any consolidated arbitration proceeding or as a private attorney general. Other rights that you would have if you went to court may also be unavailable in arbitration. You agree to waive any right to a jury trial and to participate as a member in a class-action lawsuit. You are waiving your right to a jury trial, to have a court decide your Dispute, to participate in a class action lawsuit, and to certain discovery and other procedures that are available in a lawsuit. You and we agree that the arbitrator has no authority to conduct class-wide arbitration proceedings and is only authorized to resolve the individual Disputes between you and us.

SEVERABILITY CLAUSE: Every provision of this Lease is intended to be severable. If any term or provision is illegal or invalid for any reason whatsoever, the illegality or invalidity shall not affect the validity of the remainder of the lease. To the extent that any provision of this Agreement conflicts with or contravenes any applicable state or Federal law, such provision shall be deemed to be modified to conform to the relevant provision of state or Federal law.

PERMITTED COMMUNICATIONS: Renter agrees that Lessor or its agents including debt collectors may contact Renter regarding this Agreement/account at any number Renter provides to Lessor. If Renter provides Lessor with a cell phone number, Renter agrees that Lessor may contact Renter using that number and may also contact Renter via text messaging, regardless of whether Renter is charged by his or her service provider for the text or call. Renter agrees to be contacted via automatic dialing and prerecorded message system.

You are renting this property and will not own it until you make all the monthly payments or until you use the early payment option. You do not have the right to keep the property if you fail to make all monthly payments or do not use the early purchase option. Subject to your grace periods and reinstatement rights, the Lessor may repossess the property if you fail to make rental payments as scheduled. Your rights and responsibilities are fully explained in this rental-purchase agreement.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures as of the day and date first above written.

LESSOR:

(A) Other Charges – If you fail to make a renewal payment within five (5) days of its due date, you must pay a late fee equal to 10% of your monthly rental payment (). If you make a rental payment by check and the check is dishonored by your bank, you agree to pay Colorado RTO a return check charge of $25.00 or the highest amount allowed by applicable law. If the lease is reinstated in accordance with the terms of this agreement after the Property has been repossessed, you will owe a redelivery fee of the actual cost incurred by the Lessor. If repossession is attempted but refused after a violation or default, you will be charged a fee of the actual cost incurred by the Lessor. If the Lessor is required to hire an attorney to enforce the terms of this agreement, you will be responsible for any court costs, attorneys’ fees, and service fees.

(B) Reinstatement – (i) A Consumer who fails to make timely lease payments may reinstate the original lease-purchase agreement without losing any rights or options previously acquired under agreement without losing any rights or options which exist under the agreement by the payment of all of the following within seven days of the renewal date:

1. All past due rental charges,
2. The reasonable costs of retrieval and redelivery (actual cost to Lessor), if the property has been retrieved, and
3. Any applicable late fee.

(ii) Extended reinstatement after return of property –

1. In the case of a Consumer who has paid less than two-thirds (2/3) of the total of payments necessary to acquire ownership and where the Consumer has returned or voluntarily surrendered the property other than through judicial process, during the applicable reinstatement period set forth in subsection (a), the Consumer may reinstate the agreement during a period of 90 days after the date of the return of the property.
2. In the case of a Consumer who has paid two-thirds (2/3) or more of the total of payments necessary to acquire ownership and where the Consumer has returned or voluntarily surrendered the property, other than through judicial process, during the applicable period set forth in subsection (a), the Consumer may reinstate the agreement during a period of 120 days after the date of the return of the property.

(iii) Right to reinstate following repossession – Nothing in this section shall prevent a Lessor from attempting to repossess property during the reinstatement period, but a repossession during the reinstatement period shall not affect the Consumer’s right to reinstate. Upon reinstatement, the Lessor shall provide the Consumer with the same property or substitute property of comparable quality and condition.

(C) Right to Lower Payment: (i) If any consumer who has signed a rental purchase agreement experiences an interruption or reduction of twenty-five percent (25%) or more of income due to involuntary job loss, involuntary reduced employment, illness, pregnancy, or disability after two-thirds (2/3) or more of the total amount of rental payments necessary to acquire ownership under the agreement has been paid, and such consumer provides to the Lessor some evidence of the amount and cause of interruption of reduction of income, the Lessor shall reduce the amount of each rental payment by:

1. The percentage of the reduction in the consumer’s income or
2. Fifty percent, whichever is less, for the period during which the consumer’s income is interrupted or reduced.

(ii) If payments are reduced, the total dollar amount of payments necessary to acquire ownership shall not be increased, provided, however, that the number of payments necessary to acquire ownership may be increased accordingly and the rights and duties of the Lessor and the consumer shall not otherwise be affected.

(iii) When the consumer’s income is restored, the Lessor may increase the amount of the rental payments, but in no event shall the rental payments exceed the originally disclosed amount of rental payments.
